摘要
基于美国2012年投资范本的TPP投资规则将对处在关键阶段的中美双边投资协定谈判产生重要影响,尤其在投资定义、准入前国民待遇与负面清单、国有企业与竞争中立、资金转移、业绩要求、投资者—东道国争端解决机制(ISDS)等领域,中美双方需要审慎而灵活化解存在的主要分歧。本文还以中国在自由贸易试验区试行的外商投资准入负面清单和美国在TPP中承诺的负面清单附件为基准进行了系统比较,建议中国在确保国家安全和激励技术合作的原则下进一步放松制造业与服务业的投资市场准入管制,并削减限制性较强和争议较大的特别管理措施。这将有力地促使中国形成更加透明、开放、公正和高效的投资法律制度与商业环境。
The TPP investment rules, which are based on the 2012 US bilateral investment treatytemplate, will have a significant bearing on the ongoing China-US BIT negotiations, which arecurrently at a critical stage. The two sides need to resolve their major differences in a prudentand flexible way in such fields as definition of investment, pre-establishment nationaltreatment and negative list, state-owned enterprises and competitive neutrality, transfer offunds, performance requirements, investor-state dispute settlement mechanism. Bysystematically comparing the negative list for foreign investors implemented in the free tradepilot areas in China and that put forward by the US in TPP negotiations, this article alsosuggests that China should further ease controls on market access for manufacturing andservice industries while sticking to such principles as safeguarding national security andencouraging technical cooperation; it should also reduce highly restrictive and controversialspecial management measures. Those measures will effectively help China build a moretransparent, open, fair and efficient investment-friendly legal system and businessenvironment.
