国际货物买卖合同中indemnify的中文译名

The E-C Translation of “Indemnify”in Contracts for the International Sale of Goods

本文以国际货物买卖合同中的常见法律术语indemnify为例,采用定性分析,交叉检验,举例分析等方法,探究能完整地体现这一术语原意的中文翻译。本文经研究发现,基于英美法系的indemnify的最合适的中译文为赔偿,indemnify条款的实质内容为明确各方责任的赔偿条款。

Based on the example of ＂indemnify＂ in common legal term, in intemational sales contracts, with methods of qualitative analysis, cross validation and exemplification, this thesis inquired the Chinese translation which can represent the equivalent meaning of this term. It is found that, the most suitable Chinese translation of ＂indemnify＂ in common law system is peichang（ means to compensate）, and the indemnify clause clarifying every party＇s liability in the course of compensation acts as peichang tiaokuan（ means compensation clause）.
