美国国家安全审查制度对中国国有企业在美投资的影响及对策分析

The Influence of the U. S. A. National Security Review of Foreign Merger and Acquisition Towards State-owned Enterprises of China and the Related Suggestions

2015年,中国企业对美直接投资再创纪录。然而,作为中国"走出去"的主力,国有企业对美直接投资的比重却不断下降,中国国有企业在美投资遭遇到了严重的障碍。美国外资并购国家安全审查制度以及美国国家安全审查机构——外国投资委员会的设立,大大限制了中国国有企业在美国的并购行为。在此形势下,中国政府和企业应该采取更为合理的方式加以应对。在政府层面,应进一步完善外资并购国家安全审查制度,对美国安全审查形成反制;在企业层面,应积极利用法律维护自身合法权益。

In 2015,Chinese FDI in the U. S. A. comes to a new record level. However,the part of State owned Enterprises( SOEs) FDI in the U. S. A. is decreasing year by year with the main obstacle of National Security Review of Foreign Merger and Acquisition( M&A). This article will first illustrate the general SOEs FDI in the U. S. A.and then focus on analyzing the performance of National Security Review of Foreign M&A,especially,how the system serves as a link between SOEs and national security to restrict the M&A of SOEs. On this basis,the article tries to research how the specific rule influences the M&A of SOEs with a case study. Finally,it tries to come up with some relative solutions and advice to solve the problem.
