论我国法人型专利联盟制度的构建与完善

The Establishment and Improvement on Corporate Patent Pool in China

专利联盟现已成为企业专利合作最重要的形式。法人型、契约型和社团型专利联盟相比,具有组织严密、管理规范、内部关系清晰、便于融资等优势,应成为我国今后专利联盟构建的主要组织形式。为最大化地促进技术创新和专利管理能力的提升,我国法人型专利联盟应具有开放性,兼具专利管理和集成创新等功能。在完善相关配套立法、规范性文件的前提下,我国法人型专利联盟构建时应处理好联盟内部关系、货币及实物出资与技术出资的关系、设立反垄断与运行反垄断的关系、企业与政府的关系。

Corporate patent pool has become the most important form of enterprise patent cooperation. Compared with the contractual patent pool and unit trust patent pool, corpo- rate patent pool has the advantage and strengths of tight organization, standardized manage- ment, clear internal relationship and facilitative financing. And it should be the main organi- zation form of the enterprise patent cooperation in the future. In order to maximize the pro- motion of technological innovation and enhance the ability of patent management, corporate patent pool of our country should have the characteristics of good openness, patent manage- ment and integrated innovation. Under the premise of perfecting the relevant legislation and normative documents, the construction of corporate patent pool should handle the relation- ship within the pool, the relationship between real investment and technology investment, the relationship between the establishment of the antitrust and running antitrust and the re- lationship between government and enterprises.
