物的瑕疵担保责任制度的独立性研究——兼评“独立说”与“统合说”

关于物的瑕疵担保,主要是指出卖人应担保给付的标的物在价值、有用性等方面都没有瑕疵。物的瑕疵担保责任制度从产生之日起就充满争议,直到今日还有许多问题没有解决。争议的问题有瑕疵的概念、瑕疵担保责任的性质、物的瑕疵担保责任与违约责任关系等,甚至在我国,学者对物的瑕疵担保责任制度应否存在都存有争议。因此,相关问题有待学界深入研究。

Drawbacks guarantee means the seller should ensure the buyers that the goods have no drawback in value and usefulness. The liability system is controversial since it was set up with so many problems unsolved. The arguments are about the definition of drawbacks, the nature of the guaranteeing liability system and the relationship between the guaranteeing liability and contract-breaking as well as the necessity of the system. Therefore, there are many problems need to be researched in the academic field.
