An Analysis on US Foreign Investment Security Review in Last Decade:Focuses and Tendency

本文回顾了近十年(2005-2014年)美国外资安全审查情况,从与外商直接投资(FDI)的关系、审查阶段、审查大类与细分行业分布、国别数据等多个维度进行了较系统、全面的分析,对美国财政部主导的外国投资委员会(CFIUS)进行外资安全审查的行业重点与发展趋势进行剖析并作出预判;同时,结合中国企业赴美投资遭遇安全审查并形成实质性阻碍的现状和"走出去"战略实施方向,提出进一步客观认识和分析美国外资安全审查机制与风险识别的几点看法。

Based on the annual reports of the Committee on Foreign Investment （CFIUS） led by the US Trea-sury, the paper reviews the foreign investment security review of the United States government in the last decade （2005-2014）, made a systematic and comprehensive analysis from various dimensions, as to the rela-tionship between foreign direct investment （FDI）, the review stages, the distribution of categories and sub-sec-tor, and country data. Moreover, considering some obstacle cases of Chinese enterprises FDI by CFIUS, and ＂going out＂ strategy of Chinese enterprises, the paper makes some conclusions and suggestions on the analysis of security review mechanism and risk identification.
