摘要
现代公司发展的决定性因素逐渐由以物质资本为代表的资源性要素转变为以人的知识技能为代表的知识性要素。经营管理者的知识、技能、经验等"人力资本"对公司的投入与传统观念下的"物质资本"对公司的出资均成为决定公司发展的最关键的生产要素与核心力量。然而,现行法律层面尚未立法认可"人力资本"能像"物质资本产权化"那样实现"人力资本产权化"。近年来"人力资本产权化"的社会期望日益增强,本文围绕着"人力资本产权化"的立论基础、实现途径、法律障碍和风险防范以及制度创新等方面予以论证研究并提出建设性观点。
The decisive factor for the development of modern company gradually transformed from the resource elements represented by the material capital to knowledge elements represented by people's knowledge and skills. The investment from the human capital such as the knowledge, skills and experience of company managements, as well as the investment from the traditional physical capital are becomingb the most critical factors for the development of the company. However, the current law has not yet approved human capital in the legislation just like material capital property right which can contribution to the company so that implement the human capital property right. In recent years, the social expectation of human capital property right is growing. Therefore, this article will attempt to demonstrate on the perspective of human capital property right's basis, implementation approach, legal impediment and institutional innovation. Finally, I will put forward some productive points of view.
