共享经济下公司法的适应性改进:基于Uber案的组织学思考 被引量:12

Adaptability Improvement in Company Law under Shared Economy:A Case Study Based on Uber ' Organizational Thinking

摘要 共享经济的到来催生了企业组织一系列的变化。以Uber为例,关于其司机到底属于雇员还是独立承包商的思考不应该仅止步于雇佣关系,其也唤起了针对组织与组织法变革的重新讨论。从企业理论和组织学的视角来理解公司边界、公司契约与科层制组织结构的变化有助于我们探明作为组织法的公司法所面临的外部压力和改进诉求。共享经济以其特有的方式削减了交易成本阻隔在市场中的壁垒,这对企业签约向市场签约的转变起到了推波助澜的作用,但是与此同时,企业组织的内部规范也在逐步适应国家法体系的约束,Uber所提出的调解协议就是一种例证。组织的变化与组织法变化的耦合,要求在商业实践与组织发展的张力中重塑公司法,从而提升公司法整体的适应性。 The coming of the sharing economy gave birth to a series of changes in the enterprise organization. Taking Uber as an example, the case of American is not only a dispute of the employment relationship, it also calls for a rediscussion of the change oforganization and organization law. From the perspective of enterprise theory and organization, it is helpful to understand the changes of corporate boundary, corporate contract and organizational structure, which can help us to find out the external pressure on the improvement to the company law. The sharing economy with its unique way of reducing the transaction cost barriers in the market barriers, change the enterprise to the market contract signing played a role,but at the same time,the internal standard of the enterprise organization are gradually adapt to the national law system constraints,the proposal from Uber is an example of a mediation agreement. Organizational Change and the change of organizational law, the requirements of the business practices and organizational development in the tension of the remodeling company law, thus enhance the overall adaptability of the company law.
