辽宁省上市公司股权结构与公司治理的实证研究

An Empirical Research on Listed Companies' Ownership Structure and Corporate Governance in Liaoning Province

以辽宁省上市公司为研究样本,研究不同排名的大股东与公司治理效率之间的关系,探讨不同大股东之间因追求自身利益的博弈对公司治理效率产生的影响,寻求不同大股东之间互相制衡的某种关系。研究表明,第一大股东对于公司治理效率呈现明显的负相关,第二大股东持股比例的提高无法改善企业的治理效率。提出加强各个大股东之间相互监督,防止中小股东权益受损情况的政策建议。

Taking listed companies of Liaoning Province as the research samples,the relationship between the major shareholders of different rankings and the corporate governance efficiency is studied,the influence of the game between different major share holders on the corporate governance efficiency is discussed,and the relationship between major shareholders of checks and balances is sought.The results suggest that the largest shareholder and the corporate governance efficiency is negatively correlated,and the second largest shareholder cannot improve the proportion of the improvement of corporate governance efficiency.Some policy suggestions to strengthen the mutual supervision among the major shareholders and prevent the damage situation of minority shareholders＇ rights and interests are puts forward.
