摘要
与国际领先石油化工公司合作成立合资公司是国内石化企业获取先进技术、扩展业务组合、开拓海外市场、学习西方先进管理经验的重要手段。但在对合资公司的管理关系上,由于母公司与合资公司都是独立、平等的企业法人,合资各方又都力图使本方在合资公司中的利益最大化,这必然会发生合资双方在合资公司权力和利益安排或调整上的冲突和矛盾。本文对目前理论界和企业界所采取的母公司对子公司的管理和控制模式进行了分析研究,并针对国内石化企业的合资公司管理提出了一些建议。
Setting up joint ventures with international leading petrochemical companies is an important measure for domestic petrochemical enterprises to acquire advanced technology, expand business portfolio, explore overseas market and learn Western advanced management experience. But in management relationship for a joint venture, because parent companies and the joint venture are all independent and equal legal bodies of enterprise, all parties of the joint venture try to make own party's interest in the joint venture be maximized, thus resulting in two parties of the joint venture have conflicts and contradictions in the arrangement and readjustment of power and interest. The article analyzes management and control mode for parent companies to subsidiaries taken by theory cycle and business cycle at present, and puts forward some suggestions being aimed at joint venture management of domestic petrochemical enterprises.
