股份公司中董事会监督存在的问题及对策

The Problem and Solution of Board's Monitor in Stock Corporation

在我国,尽管《公司法》明确规定监事会作为公司内部监督机关,负责监督公司的运营,监督公司董事会以及经理的行为,但实际上监事会的监督功能并没有良好的发挥。独立董事制度的引入,在董事会中嵌入了监督机制。同时,董事会下设的委员会更使得独立董事以及董事会的监督功能进一步加强。但董事会监督同样存在着董事会独立性不够、董事会委员会功能无法有效发挥、董事会自我考核中无法客观的问题,因此,充分发挥董事会的监督功能,应当着力从加强董事会的独立性、提高董事会委员会的有效性与独立性、加强董事会的自我考核入手。

In China,although the Company Law clearly sets the Supervisory Board as the company s internal oversight bodies to oversee the company’s operations,the behaviors of Directors and managers in the corporation.In fact,the supervisory functions of the Board of Supervisors did not played well.And the introduction of independent directors inserted the monitoring mechanism in the board.At the same time,the establishment of the committees under the Board of Directors also strengthened the monitoring function of board and independent directors.But there are also some problems in board monitoring.For example,the board’s independence is not enough,the function of board committees didn’t function well,the board can’t be objective in self-assessment and so on.Therefore,play the supervisory role of the Board,we should focus on strengthening the independence of the board of directors,improving the board committees’ effectiveness and independence,strengthening the objection of Board’s self-assessment.
