摘要
国有经济是我国国民经济的基础,国有企业是国有经济的重要形式,国有企业的发展与我国国民经济有着密不可分的关系。国有企业的执行机构——董事会是企业治理的核心,还存在一些亟待解决的问题。深刻剖析我国国有企业董事会制度存在的不足,完善我国国有企业董事会制度,转变企业董事治理模式,改进董事的选任和激励约束机制,在国有上市公司中全面建立和完善独立董事制度,从而有利于进一步推进我国国有企业的发展,深化经济体制改革。
The state-owned economy is the foundation of our national economy, with state-owned enterpri-ses as its important form, whose development is closely related to the national economy of China. There exist a lot of problems in the core of governance of enterprises, board of directors, which is the executive body of state- owned enterprises. In order to further propel the development of SOE and deepen the system reform of economy, the shortcomings of the board system of SOE should be penetratingly analyzed, the SOE board system perfected, the board governance structure changed, the mechanism of election and incentive of board improved, and a com-plete and independent board system in state-owned listed companies set up and perfected.
