论行政主体的“民商事特许”行为

当代中国政府与市场关系中有若干重大问题亟待解决。通过将一般民商事特许制度进行公法的调整,使行政主体亦能进行民商事特许:作为受许人的国企或私企可使用"国企标准监管企业"的名号、并具有与一般国企平等的市场地位。当受许人为国企时,在实施优先股制度的同时通过实施民商事特许对国企进行有限控制;当受许人为私企时,通过在特许合同中加入国企监管标准等内容通过合同对私企进行有限控制。作为特许人的行政主体通过特许权使用费的收取、优先股分红、某些经济政策目标的达成等获得收益。本制度贯通了行政营利行为与行政私法行为,在推进国企改革及应对TPP国企条款的挑战、合理拓展财政收入、达成政府某些经济政策目标等方面有重要应用价值。

There are some vital problems needed to be solved in the relationship of contemporary Chinese government and the market. Via the public law adjustment of common civil and commercial franchise,the administrative subject could also do civil and commercial franchise act： as the franchisee,the state-owned enterprises or the private-owned enterprises could use the name of ＂Enterprise of State-Owned Enterprise Standard Supervised＂and with equal market status as common state-owned enterprises. The state-owned enterprise＇s limited control as it was the franchisee could apply the preferred stock system and implement the system of civil and commercial franchise at the same time; while for the private-owned enterprise,the franchising contract could add the contents of state-owned enterprise supervision standard as the limited control. As the franchiser,the administrative subject could gain benefits by charging the royalties,dividends of preferred stock,reaching the targets of some economic policies and etc. This system can combine the administrative profit behavior and the administrative private law behavior,is of great application values in the fields like promoting the reform of state-owned enterprises and meeting the challenge of TPP＇s state-owned enterprise clauses,developing financial income reasonably,and reaching some government＇s economic policy targets.
