摘要 约定优先原则是私法领域中的一项重要原则,贯穿于民事立法整个领域。我国职务发明奖酬制度约定优先原则经过了一个从无到有的发展演变过程,并于《职务发明条例(送审稿)》中得以重申并进一步完善。为充分发挥约定优先原则的功能,有必要从形式与内容上阐释该原则的具体内涵,从程序审查和内容审查为主的合理性审查中明确对约定优先原则的限制,从原则体系上理顺约定优先原则与最低保障原则、合理性原则三者间的关系。应当从程序的协商民主与依法公示、内容的全面具体、审查的具体化与限缩化以及企业内部救济机制四个方面进一步完善约定优先原则。 The principle of agreement priority is important in the field of privthrough the whole field of civil law legislation. In China, theAgreement Priority Employee Invention Award-reward System has been through a process of development and evolution, and it can be reiterated and improved in the Employee Invention Regulations full play to the function of this principle,it is necessary to specific its connotations from the form andcontent,to define its constraints by examining the reasonableness mainly in its procedure and contentand to straighten out the relationship between the principle of agreement priority,the minimum guarantee principle,and the principle of rationality. The principle of agreement priority four aspects, by carrying out consultative democracy and legal publicity, specifying specializing and shrinking the examination and establishing internal remedy mechanism.
