民营上市公司股权激励问题研究

A Research on the Equity Incentive Applied by the Private Listed Companies

文章以民营上市公司为研究对象,在分析其股权激励实施现状的基础上,发现我国民营上市企业股权激励在企业治理结构、业绩评价、资本市场等方面存在系列问题,甚至出现股权激励负效应,并针对问题提出与之相对应的改进措施。

This paper took the private listed companies in China as the research object.We first analyzed the status of the equity incentive applied by these companies.Then we found that as the equity incentive applied there are a series of problems in corporate governance structure, performance evaluation, capital market and even a negative effect of equity incentive.Finally, we put forward the corresponding improvement measures against these problems.
