The governing boards of non-profit private universities in the U. S, is an self-perpetuating organization which is mainly composed of lay citizens, standing the core position of decision making in university governance. As an organization system, the governing board mainly consists of goal, institution and personnel elements, basically adopts single-board model depending on committees to operate, and primarily plays planning, communication and supervision functions. On the whole, the goverhing boards of non-profit private universities is characterized by information transparency, operation standardization and responsibility explicitation. Facing with the new situation in higher education, however, the governing board still needs to strengthen the specialization, participation and adaptation.
