摘要
我国公司法缺乏对董事离任的法律规定,以至于当司法实践中出现了因董事离任而引发公司治理纠纷时,不同法院因缺乏统一规定而对相似案件给出不同的判决。此类问题主要集中在董事离任生效要件与董事离任义务这两个方面,而"公司合同理论"以"合同自由"为基础为该问题的解决提供了新的思路。
there is no dedicated regulation pertaining to the outgoing of directors under company law in China, so that different courts give out different upshots with regarding to the same case. Generally, two core problems are the effectiveness and obligations of director's outgoing. In part, the principle of "contract free" in the classical "corporate contractual theory" provides new path to mitigate such issues.
