摘要
关于竞业限制,英美法系和大陆法系国家均有比较完善的立法体系,而我国主要散见于《劳动法》、《劳动合同法》和《最高人民法院关于审理劳动争议案件的司法解释(四)》以及部分地方法规之中。与域外立法相比较,我国目前关于竞业限制的规定没有形成科学的立法规范体系,仍存在许多不足之处,以致立法与实践无法有效衔接。从立法与实践紧密结合的基础上,厘清竞业限制协议效力判断标准、违约金和补偿金等问题具有重要意义。
Regarding the so-called non-competition,both of the common law and civil law system have a perfect legislative system,bufin China,it is mentioned only in the "Labor Law", "Labor Contract Law" and "Supreme People's Court on the Trial of Labor Disputes in the Judicial Interpretation (fourth)",and other local laws and regulations.Compared with the extraterritorial legislation,the current provisions on non-competition restrictions have not witnessed a scientific system of legislative norms in China with many shortcomings,so the legislation and practice cannot be effectively connected.On the basis of the legislation and practice,it is of great significance to clarify such issuesas the criteria for judging the validity of the competition agreement, the liquidated damages and the compensation.
