The paper stated the significances of the marketized debt-to-equity swap implemented in China and analyzed the successful cases of the debt-to-equity swap implemented by the present coal enterprises. With the marketized debt-to-equity swap mode implemented by Huaibei Mining Group and the problems and experienced method occurred in the operation and practices as the cases, the paper discovered the effective path and major mode of the marketized debt-to-equity swap conduct- ed by the state owned coal enterprises and provided the significances and related proposals on the marketized debt-to-equity swap.
