摘要
2010年起最惠国条款在电子商务、在线销售等网络平台中的运用引起了各国竞争审查机构的立案调查。最惠国条款通常表现为上下游经营者之间的纵向价格协议,短期来看对消费者有利,但却可能引不同层面的、复杂的反竞争效果。而基于互联网行业的特殊性,对相关市场的认定及反竞争效果的认定需要进一步分析,在现有的法律文本下,最惠国条款的反垄断认定,可以借鉴国外的执法经验,补充改良现有的竞争法规制思路。
Using MFN clause in the e-commerce platform sparked national anti-monopoly investigation since 2010.Among them there are two problems worthy of attention.First is the difference in market structure between Internet industry and traditional industry;second is that the MFN clause is mostly between the vertical relationship of competitive price agreement,but in practice it could cost different anticompetitive effects.Under the existing framework of legal texts,how to determine whether the MFN clause needs to be regulated and how to regulate it shall draw lessons from foreign law enforcement experience and and improve the existing anti-monopoly law regulation.
