摘要
我国矿山企业在"走出去"拓展矿山市场、并购海外公司后,部分公司因经营不善处于亏损状态、甚至面临破产重组。以在津巴布韦收购的百利矿业公司为例,进行重组攻坚研究。收购海外矿山企业的集团公司为此成立攻坚专班,制定新形势下的企业发展战略,构建中外结合的管理队伍,积极应对恶意诉讼;通过成本分析、优选项目、调整策略、技术攻关等措施进行降本增收,培育企业可持续发展能力,最终实现其全面复产和可持续性盈利。该案例对类似的经营困难的海外矿山走出困境具有借鉴价值。
Chinese mining corporations have been continually going abroad to explore overseas mining market by acquiring foreign companies. However,the overseas business of some of these corporations does not run smoothly or suffers economic loss,some are even on the edge of being restructured. This kind of problem solving and restructure is introduced by analyzing the example of Baili Mining Company in Zimbabwe. The corporation who acquired Baili Mining adopted a series of measures which include setting up a special team,stipulating corporate developing strategy under new circumstance,introducing a new management team with both Chinese and Zimbabwean personnel,actively dealing with malicious action.Besides,Bailee decreased its operation cost and increased profit by analyzing its cost structure,initiating the most promising projects; adjusting its tactics and tackling key technological problems,so as to resume overall production and to cultivate the corporate sustainable development capacity. This case study shall lay some reference value to this kind of overseas mining companies who are in operation difficulties,and help them to get out of the trouble.
