官员独立董事背景特征、离职行为的市场反应研究

A Study of Market Reaction on Background Characteristics and Resignation Behavior of Independent Directors with Official Background

在中央强力反腐的大背景下,2013年10月中央组织部下发《关于进一步规范党政领导干部在企业兼职(任职)问题意见》,自此官员独董离职呈愈演愈烈态势。本文基于这一热点现象,选取我国沪深A股市场上市公司2014年(官员)独立董事离职公告数据,对官员独立董事离职的市场反应进行研究。研究发现:官员独立董事离职时市场并无显著反应,其中市场对离职官员独董的性别、年龄、会计背景、高校背景反应显著,而对所在企业产权性质反应不显著。本文结论可为监管部门进一步完善独立董事制度提供参考。

Under the background of the strong anti-corruption of the center, the Central Organization Department issued a 'The Advice to Further Standardizing the Party and Govern-ment Leading Cadres Working(Full Time or Part Time)in Enterprises' in October 19,2013,the resignation of the official independent directors shows intensifing.Based on the hot phenome-non,this paper selects the sample consisting of the announcements in 2014 about the resignation of official independent directors in the listed companies of Shanghai and Shenzhen A-share market,in order to investigate the market reaction on independent director resignations.Our findings shows that market had no significant reaction on independent director resigna-tions.Moreover,market had a significant reaction on the resigned independent directors' gender, age, accounting back-ground and academy background,but had no siginificant reaction on the pro-perty rights of enterprises the independent directors worked in. The conclusion of this paper can provide refer-ence for the supervision department to further improve the independent director system.
