要实现准入前负面清单开放政策,外资安全审查制度的建立是"宽开放,严监管"的重要组成部分。外资并购安全审查作为外资制度的重要内容,已被提上改革议程。文章主要从外资并购安全审查的内容以及概念诠释辨析,我国现行外资安全审查制度相关法律,以及对我国现存外资安全审查立法层级问题、主体身份明晰、申报主体的改进方面存在的问题进行反思,从而为我国外资法草案建立和完善提供助力。

To achieve the open policy before access, the establishment of Foreign Security Review system is an important part of ＂wide open and strict supervision＂ policy. This article research the foreign mergers and acquisitions security review and its relevant concepts, and then study the development of China＇ s foreign security review system, and finally to explore the existing problems under the existing system and put forward the proposed suggestions briefly combined with references from foreign investment laws, those measures including legislation improvement, foreign investor concept clarity and the expansion of applicants for this Review.
