公立医院公司化改造新探——兼论种类股制度的工具价值

A New Probe on the Corporatization of Public Hospital:Discussion on the Instrumental Value of Class Share Legal System

为助力当下热烈讨论的公立医院改革,探索公立医院公司化改造之路径,通过逻辑推理法和价值分析法,以种类股制度为切入点,深入论证了我国将公立医院改制为公司的可能性及必要性。公司更多的是一种法人化的象征,国家的股权控制及股权类型的特殊安排可以确保改制后的公立医院追求公共利益。公司化亦可解决我国公立医院的独立性难题,保障其自主权,提升其经营效率。我国应充分运用种类股制度工具,区分国家控股医院、国家参股医院和完全私有化医院,进行分类改造和规制。

In order to promote the hot discussion on reform of public hospital and explore the path of corporatization, this paper further discussed the possibility and necessity of corporatization of public hospitals under the starting point of class share legal system with logical and value analysis. The corporation was just symbol of legal person. The control of governmental ownership and special arrangement of the type of share could ensure the public interests. Corporatization ean also solve the problem of independence of public hospital, protecting its autonomy and enhancing its efficiency. We should make full use of legal system of class share to classify and regulate hospitals depending on its structure of ownership such as state holding hospital, state equity hospital and total private hospital.
