论自贸区融资租赁的立法创新

Innovation of Financial Leasing Legislation in Free Trade Zones

融资租赁是自贸区金融创新的重要工具。依循"理念革新"与"先行先试"并举的原则,自贸区形成了以《合同法》为核心的融资租赁立法体系的雏形。法律定位不明确引致的现有融资租赁立法与我国民法的"债物二分"结构体系的扞格,导致自贸区立法创新方向不明确,而财产区分不明确、配套规则亟待完善、规范细则尚未出台,这些问题则进一步给交易安全和风险隔离留下隐患。自贸区融资租赁的立法创新,应当重塑以债权为核心的融资租赁立法体系,并在此基础上重构融资租赁业务配套保障机制,细化自贸区融资租赁业务规范细则。

Financial leasing is served as an important instrument for the financial innovation within Free Trade Zone. According to the principles of ＂innovating ideas＂ and ＂Early and Pilot Implementation＂, the miniature of financial leasing legislation centered on Contract Law has come into being within Free Trade Zone. However the legal status of the existing financial leasing legislation is uncertain, which leads it to be incompatible with ＂the Dualistic Structure of creditor＇s rights and property rights＂ in Civil Law and further leads to its ambiguous developing direction; moreover, the ambiguous property distinction, incomplete supporting regulations will inevitably increase the risk during the trade. So, the following measures should be taken to promote the financial leasing legislation： rebuilding a structural legislation centered on the creditor＇s rights, remodeling the supporting safeguard mechanisms, and formulating the detailed regulations.
