新常态下企业破产重整制度研究

Research on Enterprise Bankruptcy Reorganization System under the New Normal

随着供给侧改革的推进,部分企业面临破产重整,而当前我国关于破产重整制度仍有部分不足之处,难以适应当前经济社会发展。文章通过阐述破产重整制度的基本理论,以及该制度对于破产企业在摆脱经营困境方面产生的积极作用,并将不同法系国家企业破产重整制度进行对比,详细分析了新常态下我国现行破产重整制度的现状,论证了我国破产重整的立案标准不够清晰,股东权力保护和重视的程度不够,法院对重整计划的决定权过大等方面的不足之处,进而就完善新常态下我国企业破产重整制度提出可行性建议,希望越来越多的困难企业通过这一制度焕发新的生机。

Along with the innovation of the supply side, some enterprises are facing bankruptcy reorganization, the current bankruptcyreorganization system still has some deficiency. It is difficult to adapt to the current economic and social development. Basic theory,through the elaboration of the bankruptcy reorganization system and the system for the bankrupt enterprise＇s positive role in out of the difficulty,and compare different law countries enterprise bankruptcy reorganization system, analyzes in detail the present situation of our currentbankruptcy reorganization system under the new norm, demonstrates the bankruptcy reorganization case standard is not clear in ourcountry, the degree of shareholder rights protection and pay attention to is not enough, the court of the reorganization plan excessive discretionon the aspects of deficiency, and further perfect enterprise bankruptcy reorganization system in our country under the new norm putforward feasible Suggestions, hope more and more difficult enterprises through this system can glow the new vitality.
