摘要
在判断网络购物合同是否成立时,商品销售页面的性质界定尤为关键,我们应当结合实际情况具体分析,不能一概而论。就实体商品而言,如果经营者明确表示视为要约或者要约邀请,应当尊重当事人的意思自治;否则,通常视为要约邀请,如果是付款减库存等情况则视为要约更为合理。在收到消费者订单后,经营者通常会自动回复确认信,确认信的性质根据其内容确定,可能是承诺,也可能是事实通知。
It is particularly critical for us to define the nature of sales page when we determine whether the online shopping contract has been established. The nature should be analyzed in specific case. As for sales page of entity commodities, if the operator directly regard it as an offer or an invitation for offer, we should respect the autonomy of the parties; otherwise, it should be deemed as an invitation for offer, and it is more reasonable to be regarded as an offer if the stock would reduce after consumption. After receiving orders, the operator will automatically reply a confirmation letter. The nature of this letter is diverse from its content, and it may be a promise or a fact notice.
