现有的经济市场中，兼并与收购是最具有活力的经济业务。越来越多的公司以此作为规模扩张和延展的手段，而市场的多变性必然会使企业面临的并购风险加剧。国内外相关领域的学者对并购风险与防范进行了不同角度的探索．却未将其整合为一个可用的理论系统来指导企业如何正确应对并购浪潮。本文以企业在并购活动中可能出现的风险因素和相应的预防措施为研究对象。对并购风险的成因由主次多个方面进行分析。并据此提出企业并购中可采取的应对策略。

In the existing economic market, mergers and acquisitions are the most dynamic economic business. More and more companies as a means of scale expansion and extension, and market variability is bound to make enterprises face the risk of mergers and acquisitions. Scholars in related fields at home and abroad have explored the different risks and precautions of Merger and Acquisition, but have not integrated it into a usable theoretical system to guide enterprises to deal with the wave of Mergers and Acquisition. In this paper, the risk factors and corresponding preventive measures that may occur in the Merger and Acquisition activity are taken as the research object, and the causes of the Merger and Acquisition risk are analyzed from the primary and secondary aspects, and the coping strategies which can be taken in the Merger and Acquisitiion are put forward.
