摘要
目前,互联网企业在谋求国内发展的同时也开始在国际市场上有所作为,为了提高市场占有率、开拓海外市场,互联网企业开始频频进行海外并购。以阿里巴巴并购东南亚最大电商Lazada为例进行分析,发现其并购Lazada的动因是加快进入海外市场的速度、实现资源优化配置、减少交易费用等,并且针对可能引发的贸易摩擦风险、规模不经济风险、财务风险,提出了充分了解跨国并购的政策、建立有效的管理体制、选择合理的支付方式等建议。
At present, intemet companies have begun to make a difference in the international market in the pursuit of domestic development. At the same time, in order to improve market share and expand overseas markets, internet companies began to frequent overseas mergers and acquisitions. By means of taking Alibaba' s merger and acquisition (M&A) of Lazada which is Southeast Asian largest e - commerce as example, this paper analyzes and discovers that the motivation of M&A is to accelerate speed of entering into overseas market, optimizing resource allocation and reducing transaction expenses. Meanwhile, aimed at the potential risks of trade friction, diseconomies of scale and financial exposure, the suggestions such as fully understanding policy of cross - border M&A, establishing effective management system, selecting reasonable payment method and so on are proposed.
