摘要
"黑白合同"导致工程建设项目交易成本加大,同时也大大增加了风险成本,致使工程价款结算纠纷因素增多。现有文献对于黑白合同或价款结算纠纷进行了大量的研究,但二者之间的影响路径尚属空白。本研究通过案例分析,基于扎根理论分析调研结果,归纳出影响工程项目价款阶段的三类与"黑白合同"相关的主范畴,即"制度规避"、"市场交易"、"实施过程"。并通过选择性译码将原始资料证据形成的初始范畴及主范畴有机地结合起来,形成黑白合同影响要素影响工程价款结算的故事线,即发包人为规避制度的监管选择制度逃避,在市场交易阶段利用买方市场优势做出违规行为,因此在黑白合同项目的实施过程存在诸多导致影响工程价款结算的不合理行为。同时本研究还从企业自律、行业诚信、缔约氛围三个方面给出相应策略,为防止或减少黑白合同对工程价款结算恶性影响提供借鉴。
"black and white contract' results in higher transaction cost of engineering construction projects and significant increase of risk costs, thereby resulting in increase of project price settlement dispute factors. Black and white contract or price settlement dis- putes are massively studied in existing literature. The influence thereof is still blank. In the study, three major categories about 'black and white contract' affecting engineering project price stage are concluded through case ana)ysis on the basis of grounded theory analysis research results, namely 'regulation withdrawal', 'market trading' and 'implementation process'. The primary category formed by original data evidence is organically combined with the main category through selective decoding, thereby forming the story line of black white contract influencing factors during influence on project price settlement. Namely, the employer selects regulation withdrawal in order to avoid institution supervision, buyer market advantages are utilized for violation behaviors at the stage of market trading. Therefore, there are many irrational behaviors affecting project price settlement during implementation of black-white contract project. Meanwhile, corresponding strategies are also given in the study from three aspects of enterprise self-discipline, industry hon- est and contract atmosphere, thereby providing reference for preventing or reducing the malignant influence of black and white con- tract on project price settlement.
