摘要
通过分析现有的控制权配置方法,选择基于权利束分解的控制权配置方案。首先,基于Fama Eugene F的决策理论识别出PPP项目交易过程中的决策节点,并对控制权进行分解;其次,基于156号文、2724号文及相关文献得出政府部门与项目公司之间的控制权配置方案;最后,通过项目公司股权配置的情况得出政府部门与私人部门之间最终的控制权配置结果。
Through the analysis of the existing allocation method of control rights, the paper chooses the allocation scheme of control rights based on rights bundle decomposition, identifies the decision nodes in the trading process of PPP projects and decomposes the control rights, obtains the allocation scheme of control rights which between the government department and project company based on the File of Finance [2014] No.156, and National Development and Reform Commission [2014] No.2724 and related files. Finally, obtains the ultimate allocation scheme of control rights between the government department and private sectors according to the ownership allocation of project company.
