完善我国外资并购审查制度之思考——以农业产业为视角

On Perfecting the Review System of Foreign Capital Merger and Acquisition:from the Perspective of Agricultural Industry

近年来,随着全球经济一体化的发展,外资跨国粮商依靠自身累积的资本与经验优势形成了对我国农业产业上游原料、中游生产加工及品牌、下游市场渠道与供应的一定控制权。跨国资本对我国农业企业并购活动附带的效应有利有弊,对于外资并购带来的负面效应,我国已有反垄断审查和国家安全审查制度,但二者之间职权范围划分不尽合理的缺陷往往会产生重复审查或者遗漏审查等问题。本文借鉴国外先进立法例对两种制度进行分析,并结合本国国情提出相关完善对策。

With the accelerated process of economic globalization,a series of MA deals in agricultural industry caught our attention in recent years.Since those deal has both negative and the positive impacts on our economy,we need to apply the national security and antitrust review mechanisms to review and prevent the negative impacts towards our fragile agricultural industry.However,our current review mechanisms has its flaws and the division of functions is not so scientific.The aim of this paper to analyze the advanced western country legislations in this area and make possible suggestions to perfect the current review mechanisms.
