In the three typical governance types of modern corporate system,the board centered type is more suitable for mixed ownership enterprises in current stage than shareholders centered and manager centered ones. The implementation of the board centered type,or to its close,requires the construction of a relatively centralized,balanced and coordinated structure.Scientific allocation of rights and responsibilities of shareholders＇ meeting,board of directors and managers can effectively solve conflicts of interest between different investors,achieve institutional transformation from insider governance to external governance,effectively inspire and restrain occupation managers,form a modern corporate governance structure in the multi dimensions of investors,shareholders and the board of directors and managers,and realize the governance mechanism of mutual cooperation and mutual restraint.
