摘要
推进混合所有制改革,发展混合所有制企业,迫切需要治理模式和制度的创新。在现代公司制三种典型治理类型中,董事会中心型比股东中心型和经理中心型更适合我国当前阶段的混合所有制企业。实施董事会中心型治理,或者向其靠拢,要求构建相对集中、制衡配合的股权结构,科学配置股东会、董事会和经理层的权责,能够有效解决不同出资人之间可能产生的利益冲突,实现从内部人治理向外部人治理的制度转换,有效激励与约束职业经理人,进而在出资人、股东会、董事会和经理层等多个维度形成现代公司制治理结构,各治理机构相互合作又相互制约,保障混合所有制企业长期健康发展和混合所有制改革顺利推进。
To promote the reform of mixed ownership and develop the mixed ownership enterprises,the innovation of the governance model and system is urgently needed. In the three typical governance types of modern corporate system,the board centered type is more suitable for mixed ownership enterprises in current stage than shareholders centered and manager centered ones. The implementation of the board centered type,or to its close,requires the construction of a relatively centralized,balanced and coordinated structure.Scientific allocation of rights and responsibilities of shareholders' meeting,board of directors and managers can effectively solve conflicts of interest between different investors,achieve institutional transformation from insider governance to external governance,effectively inspire and restrain occupation managers,form a modern corporate governance structure in the multi dimensions of investors,shareholders and the board of directors and managers,and realize the governance mechanism of mutual cooperation and mutual restraint. Then we can safeguard the long-term healthy development of mixed ownership enterprises and mixed ownership reform.
