摘要
中国于2008年实施《反垄断法》后,全球最大的集装箱海运企业穆勒马士基集团及旗下公司受到了两次经营者集中审查。商务部在2013年宣布拒绝马士基的P3联盟议案,但在2017年末附条件地批准了马士基下属单位的收购交易。本文对商务部的两次决定进行比较,就所涉及的主要法律问题进行分析,并对中国航运业的发展提出了几点思考。
Since the PRC Anti-monopoly Law took effective in 2008, the largest container shipping enterprise in the world A.P. Moller-Maersk Group and its affiliate have received twice examinations for concentration of undertakings. The Ministry of Commerce rejected Maersk’s P3 Alliance proposal in 2013, while conditionally approved the acquisition transaction of Maersk’s affiliate at the end of 2017. Comparing the two decisions of the Ministry of Commerce, this paper analyzed the main relevant legal issues and raised some questions and suggestions on Chinese shipping industry.
