近年来,我国证券市场快速发展,越来越多的公司通过IPO跻身到上市公司行列。随着我国证券市场的发展壮大,上市公司信息披露中的问题和缺陷也日益显露出来。上市公司在信息披露中仍存在着隐瞒、散布假信息等欺诈投资者的违规行为。从早期的银广夏、蓝田股份到匹凸匹、乐视网、獐子岛等上市公司,无一不深深地打击了广大投资者的积极性,引发了一次又一次的信任危机,干扰了证券市场的健康发展,严重地破坏了证券市场的正常秩序。从法律视角分析我国上市公司信息披露问题,提出规范上市公司信息披露的对策,对提高我国证券市场的透明度,确保证券市场健康有序地发展具有重要意义。

In recent years, China＇s securities market has developed rapidly, and more and more companies have been to the listed companies through IPO. With the strongly development of China＇s securities market, the problems and defects in the information disclosure of listed companies are becoming more and more obvious. In the information disclosure, listed companies still have the illegal behaviors of concealing and spreading false information. From the early listed companies such as Yinguangxia, Lantian Co. to P2P, LETV, Zone Co. and so on, these listed companies all deeply hurt the enthusiasm of the broad investors, triggered a crisis of confidence again and again, interfered with the healthy development of securities market, and seriously damaged the normal order of securities market. To analyze the information disclosure of listed companies in China based on the perspective of law, put forward the strategies of standardizing the information disclosure of listed companies, and improve the transparency of China＇s securities market so that it has significance to ensure the healthy and orderly development of securities market.
