本文从公司治理结构概念入手,通过对比英美与日德两种公司治理模式的治理结构和治理机制及其发展趋势,总结出可以为我国国企改革提供借鉴的积极因素,又通过分析吉林省过去改制企业的公司治理结构中存在的问题,联系吉林省目前国企改制的现状,强调国企改制完成后仍然要重视完善公司治理结构,股份制改造只是完善公司治理结构的第一步,否则,改制的国企还会陷入经营困境的老路,并最终影响吉林经济的振兴。

By comparing the governance structure, governance mechanism and the development trends between Britain-America mode and Japan-Germany mode, this writer sums up some positive factors useful for reference in our state owned-enterprises reform and then points out that while conducting the necessary reforms, more importantly, attention must be paid to improving the governing structure of enterprises.
