论社有企业特殊管理股的制度构建

On the Construction of Special Management Share System for Cooperatives Enterprises

国务院针对国企改革提出的特殊管理股制度,对于供销合作社社有企业改造同样适用。社有企业运用特殊管理股具有正当性、效率性和平衡性,在国务院对特殊管理股作出明确规范前,供销社可利用投票权征集、累积投票制、董事会议事规则和董事提名权等合法手段实现类似特殊管理股的功能。在特殊管理股合法化后,则应区分不同行业不同企业综合利用普通股、优先股、超级表决权股及金股等不同股份的优势,扬长避短,促进社有企业持续实现为农服务的目标。

The special management share system proposed by the State Council for the reform of state-owned enterprises is applicable to the reformation of the enterprises owned by the supply and marketing cooperatives.It is legitimate,efficient and balanced to implement special management share system in cooperatives enterprises.Before the State Council officially stipulates this new system,the cooperatives can achieve functions analogous to them of special management share system through legitimate means such as proxy solicitation,cumulative voting,rules of procedure for the board of directors,rights to dominate directors and so on.After the legalization of special management share system,in order to make sure that the enterprises serve the peasants continuously and make best use of the advantages while bypass the disadvantages,the advantages of different enterprises’synthetically applying different shares such as ordinary share,preference share,super-voting stock and golden share in different industries should be distinguished.
