摘要
在编纂《中国民法典》的同时,中国需要编纂一部《商法典》,这是维护国内经济秩序与社会秩序稳定并有序发展、保持我国的国际竞争力和提升国际地位的创新工程,也是保证我国实现《民法典》编纂价值目标的关键。编纂《中国商法典》是一项循序渐进的系统工程,其路径是:制定总括商法原则及一般规则的《商事通则》;全面展开现有商事法律制度的整理汇编,即完成《商事法律汇编》;在条件成熟时编纂一部与《民法典》相呼应的《中国商法典》。
It is necessary to compile a Commercial Code in China when compiling the Chinese Civil Code.This is an innovation project for China to maintain the stability and orderly development of its domestic economic and social order,and to retain its global competitive edge and enhance its international status.It is also crucial to ensuring that the value goal of compiling the Civil Code will be achieved.The compilation of the Chinese Commercial Code is a systematic work,which is to be approached step by step:(i)to stipulate the general principles of commercial law which include the commercial law principles and the general rules;(ii)to collate and assemble the existing legal institutions for commercial affairs,i.e.,to complete the compilation of laws for commercial affairs;(iii)to compile the Chinese Commercial Code in corresponding to the Civil Code when the time is ripe.
