Discussions on General Rules of Commercial Law

由于民法与商法之间固有的联系,随着民法典编纂成为国家重大立法决策并全面启动,商事立法也引发了广泛关注。2017年10月中国法学会商法学研究会公布了《商法通则(立法建议稿)》,对商法的地位及其在民法典编纂中的安排进行了制度设计,力求突破民商合一与民商分立两种传统模式,以民法典与商事单行法相结合的方式解决民商立法衔接问题。针对理论界与司法实务界关注的重点问题,本刊特邀该领域五位知名学者就商法通则立法必要性、体系设计以及民法与商法立法模式选择展开讨论,同时对商法实践热点话题——商号和商事代理制度入法路径予以回应。
