摘要
如何解决委托代理问题是我国现代家族企业面临的重要问题。晋商作为我国传统社会的家族商业代表,在外部制度环境缺失和社会动荡条件下成功约束了经理人的行为并实现持续发展。从传统文化的视角分析探讨晋商约束机制形成过程、作用效果及其对现代家族企业治理的启示。研究将有助于回应学者对研究特定社会环境下的家族企业治理的呼吁,以传统文化为纽带丰富拓展家族企业治理机制的研究思路。
In contemporary society, Chinese family businesses face an important issue about how to solve the principal-agent problem.As a form of traditional Chinese family businesses, Shanxi businesses had an enduring development during social turbulence.Taking them as a specific example, this paper discusses the mechanisms through which Chinese traditional cultures affect the restraint mechanism of Shanxi business, how the cultures affect the effectiveness of restraint mechanism, and what the implications Shanxi businesses have for contemporary family businesses.This study answers the calls for more research on the governance of family enterprises in special cultural contexts, and provides a new perspective to solve governance problems of family businesses.
