论破产一般取回权的行使条件

一般取回权由实体法上的请求权在破产程序中转化而来。一般取回权的主体条件为实体法上的请求权人和破产管理人或债务人。内容条件为与之对应的实体法上的请求权相同。时间条件为法院受理破产申请后,破产程序终结前。行使条件的具体适用应对是否满足行使条件进行判断。在管理人选择继续履行并提供担保后,融资租赁合同中的出租人和所有权保留买卖合同中出卖人不能行使一般取回权。重整程序中行使一般取回权符合事先约定不构成对一般取回权行使的限制,应根据行使条件判断能否行使一般取回权。

The right of general reclaim is derived from the right of request in the substantive law in the bankruptcy procedure. The time condition is the end of the bankruptcy procedure after the court accepts the bankruptcy application. After the manager chooses to continue to perform and provide guarantee,the seller can not exercise the general right of return in the leasing and the sale contract of the ownership retention contract. In the reorganization procedure,the general withdrawal right is consistent with the prior agreement,which does not constitute a restriction on the exercise of the general recall right.
