僵尸企业的判别与法治化出清——以破产制度的完善为基点

Method to Identify Zombie Enterprises and Lawful Disposal——Based on Perfecting Bankruptcy System

僵尸企业的大量存在阻碍了我国经济的长足发展,在准确理解僵尸企业概念和识别僵尸企业的基础上,通过法治化的路径出清僵尸企业是"去产能"工作的重点内容。破产制度是法治化方式处置僵尸企业的重要制度保障,但在运用过程中暴露出破产程序启动难、审理效率低、破产管理人机制不完善等问题。因此,必须通过引入和规范预重整制度、确立简易程序和成立专门的破产管理机构来解决上述问题,从而完善我国破产制度,推动僵尸企业的法治化出清进程。

The existence of huge number of zombie enterprises impedes China’s economic development. It is argued that,based on a better understanding of the definition and an efficient method to identify zombie enterprises,the key content of “de-capacity” is to work out a legal solution. Bankruptcy system is an important institutional assurance for the legal ways of dealing with zombie enterprises. However,there are also problems in practice such as difficult proceedings,low level of trial efficiency,and incomplete manager system. It is suggested to introduce and standardize system to solve the problem with a summary procedure and a specific institution.
