摘要
并购是企业实现自身发展战略的重要方式。然而,并购是一把双刃剑。若要使之能够服务于企业的发展战略目标,企业在选择并购时必须具备一些先决条件,同时还需要绕开"并购陷阱"。结合当今中国并购市场繁荣与风险并存的现状,在对并购动因的主要理论作了简要梳理后,分析了企业在制定并购战略时需要结合自身状况去权衡的关键点。
M & A is an important way for companies to accomplish its development strategy. However, it is a double-edged sword. In order to achieve their developing goals by means of M & A, enterprises should have some preconditions for M & A and avoid some “pitfalls of M &A” at the same time. In consideration of the present situation of the China’s M &A market where both prosperity and risks have been co-existing, the main theories on M &A motivations were combed, and then the key points to weigh the M &A strategy on the basis of their own situation were analyzed on.
