合同附随义务的违反与同时履行抗辩权之适用

On Breach of Contract Obligations Accompanying and Application of the Concurrent Plea

合同附随义务为诚实信用原则衍生之法律制度。一般情况下合同附随义务的违反不能适用同时履行抗辩权。但在特殊情况下,违反合同附随义务排除同时履行抗辩权之适用,则有悖公平原则。完善我国《合同法》关于同时履行抗辩权的规定,对违反合同附随义务导致合同目的不能实现的场合,赋予同时履行抗辩权的适用,则可以平衡合同当事人之间的利益,充分发挥同时履行抗辩权制度的应有功能。

Collateral obligation of contract is a legal system which derived from the principle of good faith.Generally,the system of the concurrent plea cannot apply to breach of contract obligations accompanying.However,it violates the principle of fairness,in exceptional circumstances.It can balance the interests between the contract parties and give full play to the function of the concurrent plea system to improve the content of contract law about the concurrent plea and allow for the application of the concurrent plea in the case of that the purpose of the contract can not be realized when contract obligations accompanying are breached.
