On Subagency

复代理是代理人为处理权限内事务之全部或一部,以代理人自己之名义另选他人予以代理之代理。我国只规定了委托代理中的复代理,未对法定代理中的复代理作出明确规定。复代理产生的前提是本人赋予代理人复任权,该项权利不属于代理权的权限范围,是独立于代理权的一项权利。复代理人是本人的代理人,但代理人应对复代理人的选任、监督或指示向本人承担相应的责任。复代理人只有在本代理权和复代理权的范围内实施的行为才能产生代理后果,否则属于无权代理行为。

The subagency refers to such an agency thatperformed by another person（asubagent） appointed by an agentwho aims to dealwith the allor partofthe affairs authorized in one＇s own name. The subagency is only regulated in the field of agency by mandate in China, while the subagency in the statutory agency isn＇t regulated explicitly by the legislation. The precondition of the subagency is the fact that the agent is empowered by the principal to select the subagent. The right to select the subagent, which doesn＇tbelong to the scope of the right of the agency, is independentofthe rightofagency. The subagentis the principal＇s agent, but the agent should bear the correspond ing responsibility for its selection, supervision and instructions to the principal. Only when the activities performed by the subagentbelong to the scope of the right of both original agency and subagency, can the consequence of authorized agency generate. Other wiseitis regarded as the unauthorized agency.
