过去20年商业银行公司治理的演进史告诉我们,我们既要高度关注治理架构,更应切实关注治理的有效性,在实现“形似”的基础上,努力实现“神似”和“神至”。做到这一点,很重要的是做好“三力”管理,即治理主体的履职能力、履职动力和履职合力。
When it comes to corporate governance, most academicians are focused on the aspect of the governance structure, but with little into the effectiveness of corporate governance. However, according to the evolutionary history of corporate governance in commercial banks over the past 20 years, both of the structure and the effectiveness of governance needs be emphasized in corporate governance. In order to do this, we must pay attention to the ability, motivation and the combining force among the governing subjects.
