摘要
In the practice of the Corporate Law in China, the disputes over the validity of unauthorized guarantee of corporate legal representative still occur frequently, and different courts always make different judgments. A typical phenomenon of the legal representative＇s ultra vires acts is the non-compliance with the internal resolution procedures and rules stipulated by law or a company charter, which affects the validity of resolutions as well as the validity of transactions or contracts based on such kind of resolutions or in the absence of such resolutions.
