摘要
就公司债权人的保护进行探讨,分析了债权人利益受到损害的原因,提出要从建立公司法人人格否认制度、债权人的派生诉讼制度、完善信息披露制度和加强债权人对公司经营的参与方面加强债权人保护。
This paper discusses the protection of corporation creditor, analyzes the causes for the damage of creditor’s interests, and puts forward to strengthen creditor protection from the following aspects: establishing personality disregard system in corporation and derivative suit system for creditors; perfecting information disclosure system and strengthening creditors’ participation in corporation operation.
