西方典型公司治理模式对国企改制的启示

The typical corporate governance models in the West and the inspiration for the state-owned enterprise reform in China

西方公司治理模式经过几百年的发展 ,形成了比较完善的体系。作者通过对西方两种典型公司治理模式———美国模式、德国模式的分析比较 ,结合中国国情与国有企业现有公司治理模式存在的问题 ,提出一种新型公司治理模式。在这种模式中 ,银行通过相机治理机制成为外部治理的基础 ;内部治理采用共同治理模式 ,确保相关利益者和股东拥有平等的机会进入董事会和监事会 ,参与公司治理。新型公司治理模式吸收了西方两种典型模式的优点 ,比较接近于德国模式 ,更适合中国目前国企改制的实际需要。

The Western corporate governance model has formed a perfect system through the development of several hundred years. The research on the Western corporate governance can improve China′s state owned enterprises(SOEs) governance. By analyzing and comparing the two typical corporate governance models in the West American and German, and combining with China′s national conditions and the drawbacks of SOEs governance, this paper puts forward a new corporate governance model. In this model, bank becomes the basis of external corporate governance by way of contingent governance mechanism, and the internal corporate governance uses co governance model to ensure that the stakeholders and stockholders can have equal chance to enter the governing board and supervisory board. The new corporate governance model absorbs the merits of the two typical models in the West and is close to the German model. And this model is fitter for the real need of China′s SOEs reform than the current governance model.
