上市公司独立董事激励机制的实证研究

An Empirical Analysis on Incentive System to Independent Directors of Listed Companies

自2001年8月我国在上市公司全面推行独立董事制度以来,对独立董事如何进行激励和约束成为公司治理中的热点课题。本文以2002年末已聘独立董事的全部1201家上市公司为样本,研究我国上市公司采取的独立董事激励机制,为完善我国独立董事制度和公司治理结构提供证据支持。

How to design the system of incenting and restricting independent directors has been the hotpot of corporate governance since our country mandatoryily implemented the independent director system in listed companies in August 2001.This paper examines the total 1201 firms having independent directors by the end of 2002,and researches into the incentive system to independent directors adopted by our listed companies.Our research would provide evidences for improving independent director system and corporate governance in China.
